The Role

This is the perfect opportunity for a UK qualified company secretary who wishes to grow their career and responsibilities in a senior and autonomous role, having sole responsibility for the UK Company Secretary function. The suitable candidate will demonstrate professional acumen, diligence and initiative as often responsibilities outside of the typical company secretarial function such as review of dormant companies, liaison with administrators, will fall under their remit and it is crucial that the candidate proactively action the task or liaise with relevant departments to conclude such responsibilities in a timely manner.

This role allows the candidate the opportunity to work directly with senior executives within our FTSE 250 company. The role reports into the UK management team as such the executives will often seek guidance from the UK Company Secretary and expects him/her to manage key meetings related to company affairs.

We allow the option to work remote or utilize our city center offices as and when required, with infrequent travel to London.

Key Responsibilities

• Maintaining the company statutory registers for all UK operating companies; 
• Updating companies’ house as required and making all necessary companies house filings;
• Drafting of Board/Shareholder documentation to effect any corporate changes;
• Assisting with documentation and filings for any distributions, share capital injections, promissory notes, etc. made by operating companies;
• Organizing / preparing board meetings as required;
• Handling company secretary correspondence (including but not limited to Companies House and Regulatory correspondence);
• Responsibility for the incorporation of new entities for the UK portfolio;
• Assisting with the preparation of intercompany franchise, management and security documentation and any statutory filings or record updates arising out of the foregoing;
• Coordinating any new center openings or closures and documentation required for same;
• Coordinating any insolvency/administration projects as and when required;
• Liaison with relevant departments regarding bank account/treasury requirements for the UK portfolio;
• Preparation of governance reports as and when required;
• Assisting the Group PLC Company Secretary, as and when required;
• Responsibility for legal entity record reconciliation projects, as and when required; and
• Other ad hoc UK company secretarial work as required from time to time.

Required Skills, Experience & Qualifications

• Chartered UK company secretary with 3-5 years post qualification experience. 
• Proactive and self managing, yet also a team player.
• Able to work at a fast pace with high accuracy. 
• Ability to multi-task and priorities key deliverables to ensure timely completion of filings. 
• Used to working with senior stakeholders.
