The candidate will serve as the Corporate Secretary of all Regus / IWG Philippine entities responsible for the corporate housekeeping and managing the GSC corporate secretarial team. The candidate will also act as the Data Protection Officer of the GSC and a Legal representative for GSC’s legal affairs.
Duties and responsibilities
Serve as Corporate Secretary responsible for conducting and overseeing directors’ meetings, including preparations of related minutes and certificates, safekeeping and preserving the integrity of the minutes / certificates as well as other official corporate records, preparing and submitting reports required by the SEC, and performing such other duties and responsibilities as may be prescribed under the Revised Corporation Code and under SEC regulations
Manage a team that handles global corporate housekeeping of all IWG entities in different jurisdictions as well as coordination with local advisors. Tasks include but not limited to: Diligent Entities corporate data management and monitoring, new entity incorporation in local jurisdictions including locally registering any company update such as director change, address change, shareholding change, intercompany agreement preparation and execution including registration of security agreements, minutes or resolutions preparation including arrangement of signatures, local application for liquidations, and other related corporate housekeeping tasks
Coordinates with GSC Treasury and the Bank on certain treasury tasks as required.
Work with Tax and Reporting Team in initiating VAT registration as part of setting up new entities
Monitors Team’s KPIs and Individual scorecards and acts accordingly in addressing red metrics and poor performance. Ensures that volume received in Service Now (SNOW) are addressed timely by the team members and works on closing escalated and aged tickets in the queue.
Act as the Data Protection Officer (DPO) of the GSC
Qualifications
Legal or Paralegal
At least 5 years of relevant experience in Corporate Secretarial
At least 2 years’ experience in handling/managing Data Privacy
High integrity and commitment to work
Cross functional collaboration and team player, and experience of managing a team
Dynamic, hands-on, proactive self-starter, high ownership and resilient
Excellent communication skills (written and verbal), with proven ability to communicate across all levels within the organization and with external parties
Problem solving and Analytical skills
Able to manage difficult stakeholders, high pressure at work and multiple deliverables
